StayPilot Terms of Service

These Terms govern use of the StayPilot platform (web application, APIs, and communications services) by owners, operators, guests, cleaners, vendors, and other users ("you").

1. What StayPilot Is (and Isn't)

StayPilot is software that coordinates vacation-rental operations: reservations, guest messaging, access management, turnover and maintenance coordination, approvals, and owner accounting. StayPilot is not a party to rental transactions between owners and guests, not a real estate broker (unless separately and expressly engaged under a written brokerage agreement), not an employer of cleaners or vendors, and not an insurer or guarantor of any property, stay, or service outcome.

Service modes. For self-serve software subscriptions, these Terms and your order form are the entire agreement: you remain the operator of your rental — you control the listing, pricing, reservation acceptance, cancellation and refund decisions, and all funds; StayPilot supplies software that drafts and, where you explicitly enable it, executes your own configured instructions. Property-management services, where offered, exist only in jurisdictions where StayPilot or a licensed partner may lawfully provide them and only under a separately signed Property Management & Automation Services Agreement (with the Guest Rental and Vendor Services Agreements); those agreements supplement and are not replaced by these Terms. A software subscription is not a property-management engagement.

2. Accounts; Roles

You must provide accurate information and keep credentials secure. Role-based permissions restrict what each account can see and do; you agree not to circumvent them. You are responsible for actions taken under your account.

3. Automation and AI

The platform can perform automated actions — such as drafting and sending communications, and, under a property-management agreement where lawful, generating and revoking access codes, dispatching vendors, and authorizing expenses — strictly within policies configured and visible in the platform. Automation is opt-in: AI output defaults to drafts for your review, and autonomous execution occurs only after you explicitly enable it and only within your configured limits. You acknowledge that: (a) automated decisions are logged and reviewable in the audit log; (b) humans can override automated decisions; (c) AI-generated content may contain errors, and material decisions should be verified; and (d) automation operates on data provided by users and third-party integrations, and is only as accurate as that data.

4. Financial Terms

All money movement is governed by the applicable party agreement. StayPilot does not advance its own funds for property expenses and does not guarantee rental income, occupancy, pricing outcomes, or vendor costs. In software-only service, StayPilot does not hold, receive, or control guest or owner funds — your booking platform or payment processor handles guest money, and your subscription and AI-usage fees are the only amounts StayPilot collects. Where funds custody occurs under a signed property-management agreement, client funds are held in segregated trust accounts as that agreement provides. Fees are as stated in your agreement or order form and are non-refundable except as required by law or expressly stated.

5. Third-Party Services

The platform interoperates with third-party services (booking channels, smart locks, payment processors, messaging carriers, accounting systems). StayPilot is not responsible for third-party acts, omissions, outages, data, or policy changes, and your use of third-party services is subject to their terms.

6. Acceptable Use

No unlawful use; no discrimination in violation of fair-housing or public-accommodation laws; no interference with the platform, scraping, or security circumvention; no sending unlawful communications through platform channels. StayPilot may suspend access for violations, non-payment, or risk to the platform or other users.

7. Data

Our collection and use of personal data is described in the Privacy Policy. As between the parties, owners own their property and business records; StayPilot owns the platform, its software, and aggregated/de-identified analytics.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." STAYPILOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) STAYPILOT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE; (b) STAYPILOT'S AGGREGATE LIABILITY ARISING OUT OF THE PLATFORM IS CAPPED AT THE FEES PAID TO STAYPILOT BY YOU IN THE SIX (6) MONTHS BEFORE THE CLAIM; AND (c) STAYPILOT HAS NO LIABILITY FOR PROPERTY CONDITIONS, GUEST OR VENDOR CONDUCT, OR EVENTS AT PROPERTIES, WHICH ARE THE RESPONSIBILITY OF THE APPLICABLE OWNER, GUEST, OR VENDOR. Nothing limits liability that cannot lawfully be limited (e.g., for gross negligence, willful misconduct, or fraud).

10. Indemnity

You will indemnify StayPilot against claims arising from your content, your properties or services, your breach of these Terms or law, or your violation of third-party rights, except to the extent caused by StayPilot's own gross negligence or willful misconduct.

11. Disputes

Florida law governs. Disputes are resolved by binding individual arbitration (AAA), venue Sarasota County, Florida; small-claims and injunctive relief excepted. Class actions and jury trials are waived to the extent permitted by law. 30-day informal-resolution notice required before filing.

12. Changes; Termination; General

We may update these Terms with notice; continued use is acceptance. Either party may terminate platform access per the applicable agreement; Sections 4, 7–11 survive. Severability, no waiver, entire agreement (with the applicable party agreements), electronic acceptance binding.
